These Terms & Conditions govern your subscription to our research services and your interactions with us. Please read them carefully before proceeding.

2. SCOPE OF SERVICE The Research Analyst (RA) provides research and trading recommendations. The RA does not offer portfolio management, investment advisory, or execution services. The Client acknowledges that all recommendations are taken at their own risk and that the RA is not liable for any trading losses.

3. SUBSCRIPTION ACKNOWLEDGMENT By subscribing to any of the services available on https://growwithsameer.com/, the Client acknowledges understanding the services, associated risks, and the fee structure. Upon subscribing, an invoice will be sent to the Client's registered email ID.

4. CLIENT DOCUMENTATION REQUIREMENTS The Client must provide all required documentation, including proof of identity and contact details, for due diligence and regulatory compliance.

5. CLIENT DECLARATION The Client acknowledges:

• Understanding the SEBI (Research Analysts) Regulations, 2014, including the applicable fee structure.
• Subscribing to research services solely for personal use and exercising independent judgment on research recommendations.
• Awareness that investments are subject to market risks, and there is no assurance of returns.

6. DECLARATION BY RESEARCH ANALYST

• The Research Analyst is duly registered with SEBI and complies with all regulatory requirements.
• The RA does not guarantee investment returns and adheres to SEBI’s prescribed fee limits of INR 1.51 lakhs per annum per family of clients.
• The RA maintains full independence and objectivity in research services.

7. PAYMENT METHODS Payments must be made via account payee crossed cheque, demand draft, NEFT, RTGS, IMPS, or UPI, strictly to the bank accounts listed on https://growwithsameer.com/. The RA is not responsible for payments made to unlisted accounts.

8. RISK DISCLOSURE Investing in securities involves risk. The Client acknowledges:

• Past performance does not guarantee future results
• Market conditions can lead to potential losses.
• The RA is not responsible for losses incurred due to market fluctuations.

9. CONFLICT OF INTEREST DISCLOSURE The RA:

• Does not trade in securities that are subject to recommendations.
• Maintains transparency in research services and has no conflicts of interest with issuers of recommended securities.
• Has not received compensation from any companies subject to recommendations.

10. VALIDITY OF SUBSCRIPTION The Client's subscription remains valid as per the purchased package. Renewal is optional and subject to mutual agreement.

11. TERMINATION OF SERVICE & REFUND POLICY

• The Client may terminate the subscription if the RA fails to provide research recommendations, excluding dissatisfaction with returns.
• If the RA's SEBI registration is suspended/canceled for over 60 days, the RA will refund the fees on a pro-rata basis.

If unresolved, complaints can be lodged with SEBI at https://scores.sebi.gov.in/ or via the ODR Portal https://smartodr.in/.

13. MEANS OF COMMUNICATION Research recommendations will be communicated only through Telegram or WhatsApp. Official email communications will only be from registered domains.

14. IMPORTANT TERMS & CONDITIONS

• The RA does not execute trades on behalf of Clients.
• Clients should independently verify recommendations before making investment decisions.

15. CONFIDENTIALITY The RA maintains the confidentiality of Client information unless disclosure is required by law.

16. OPTIONAL CENTRALISED FEE COLLECTION MECHANISM Currently, the RA does not use CeFCoM for fee collection. Upon registration, the option will be made available.

17. DISPUTE RESOLUTION Disputes will be resolved through arbitration or mutually agreed legal procedures. The RA is not liable for damages resulting from actions taken in good faith.

18. SEVERABILITY If any provision of these Terms is found invalid, the remaining provisions shall remain in effect.

19. FORCE MAJEURE Neither party is liable for failure to perform obligations due to unforeseen events beyond reasonable control.

20. DISCLOSURES & DISCLAIMER The Client acknowledges the disclosure and disclaimer available on https://growwithsameer.com/ and agrees to review updates regularly.
